1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the AgencyOS software-as-a-service platform, website (marketingagencyops.com), mobile applications, and native workstation client (collectively, the "Service").

By registering an account, clicking "Continue with Google", or accessing the Service, you represent that you are at least 18 years old, possess the legal authority to bind your organization or agency, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Description of Service

AgencyOS provides an all-in-one operating platform for creative agencies, digital consultancies, and marketing teams. The Service includes workspace management, client portals, task orchestration, financial telemetry, time tracking, team rosters, and leave management tools.

3. User Accounts & Security

To access the Service, you must create a registered account or authenticate through an authorized third-party provider (such as Google OAuth). You agree to:

• Provide accurate, current, and complete corporate registration information.
• Maintain the confidentiality of your account credentials, session tokens, and passwords.
• Promptly notify AgencyOS of any unauthorized access, breach of security, or compromised credentials.
• Remain solely responsible for all actions conducted under your workspace user credentials.

4. Subscriptions, Fees & Payments

• Billing Models: AgencyOS offers monthly and annual subscription tiers. Subscription fees are billed in advance on a recurring schedule corresponding to your selected billing cycle.
• Payment Processing: All transactions are conducted through authorized and PCI-compliant payment gateways, including PayHere and Stripe. By adding a payment method, you authorize AgencyOS and its payment processors to charge all accrued subscription fees to your designated payment instrument.
• Currency & Taxes: Fees are displayed in the specified billing currency (e.g., USD or LKR) and are exclusive of applicable taxes unless stated otherwise.
• Automatic Renewal: Subscriptions automatically renew at the conclusion of each billing cycle unless cancelled by the account administrator prior to the renewal date.
• Refunds: All refund requests are governed by our dedicated Refund & Cancellation Policy.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any local, national, or international laws or regulations.
• Upload malicious code, malware, viruses, or disruptive scripts.
• Attempt to decompile, reverse-engineer, or breach security or tenant isolation mechanisms.
• Engage in unauthorized data scraping, network penetration testing, or denial-of-service activities.
• Infringe upon the intellectual property or privacy rights of any party.

6. Intellectual Property Rights

Your Data: You retain all ownership, rights, and title to all client files, agency deliverables, tasks, and data uploaded to your AgencyOS workspace ("Customer Content").

AgencyOS IP: The Service, code, user interface, brand assets, logos, and documentation are the exclusive intellectual property of AgencyOS and its licensors, protected by copyright and trademark laws.

7. Service Availability & Modifications

We strive to maintain a 99.9% uptime record. However, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We reserve the right to schedule maintenance, deploy software upgrades, and modify features with reasonable advance notice.

8. Limitation of Liability

To the maximum extent permitted by law, AgencyOS and its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, resulting from your use or inability to use the Service.

9. Termination

You may terminate your account at any time via your workspace settings. AgencyOS reserves the right to suspend or terminate accounts that violate these Terms, fail to remediate overdue payments, or engage in abusive or fraudulent activities.

10. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of Sri Lanka, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts.
